Argentina (AR) — civil law.
Nothing on this page describes United States practice. There is no certificate sold to an investor, no administrative sale of land for unpaid tax, and no redemption window after a
subasta judicialin Argentina. If you arrived carrying US assumptions, read falsos-amigos first.
IGJ — Inspección General de Justicia
The IGJ is the national Ministry of Justice agency that organises and keeps the
Registro Público (formerly Registro Público de Comercio). It also supervises share
companies (except those under the CNV), foreign companies operating in the country,
civil associations and foundations
(Ley 22.315 arts. 3–4).
Its territorial reach is limited: the law applies in the Capital Federal and the
then Territorio Nacional de Tierra del Fuego (art. 2). A company registered in Córdoba,
Mendoza or Buenos Aires Province keeps its records in that province’s Registro Público. Those procedures are provincial and not covered here. For an auction buyer the
IGJ matters in three moments. First, embargos on SRL cuotas are registered there
(LGS art. 156), so search it before bidding. Second, the transfer of cuotas bought at
auction counts against third parties only from its registration (LGS art. 152). In 2021
the IGJ required a LGS art. 10 publication naming transferor, transferee and number of
cuotas for any transfer, expressly including forced ones (RG IGJ 10/2021). Third, a
transfer of a fondo de comercio located in CABA is registered there under Ley 11.867.
That needs the five-day publications, a social-security clearance, de-registration from
ingresos brutos and non-inhibición certificates, for a fee of 9 módulos. The
IGJ’s rulebook changed on 1 November 2024, when RG IGJ 15/2024 replaced RG 7/2015
and the general resolutions built on it. Several official pages still cite RG 7/15, so
check every article number against the current Normas.

The opening section is open to everyone. The procedure in detail — statutes, deadlines, who may bid, and what the record does not say — is behind a free account.
We ask for one because writing these from primary sources is slow work, and knowing who relies on it tells us which country to do next.
